Representing some of America's largest corporations, closely-held businesses, executives, fiduciaries, and individual clients in high-risk litigation and business disputes and in compliance matters and complex transactions across the country, Mr. Johanson also has offices in San Francisco, Los Angeles, and New York City. Specializing in general corporate matters and employee ownership, benefits, ERISA, and other matters, his practice area also covers executive compensation, equity incentive plans, non-qualified deferred compensation, employee stock ownership plans (ESOP) and transactions, mergers and acquisitions and related tax planning, and business succession and estate planning.
After completing four years of distinguished service with the U.S. Air Force and receiving an honorable discharge as a sergeant in 1980, Mr. Johanson graduated with a bachelor's degree in individualized studies, summa cum laude, from the University of Minnesota, in the same state where he grew up. Mr. Johanson's senior honors thesis was in judicial decision-making. He acquired his J.D. cum laude in 1986 from the University of Minnesota Law School. Mr. Johanson is licensed to practice law in Minnesota, Washington D.C., Maryland, New York, Texas, and California, and he has been admitted to practice in Federal District Courts throughout the U.S., the U.S. Tax Court, and the Third, Seventh, Eighth, Ninth, and Eleventh Circuits of the U.S. Court of Appeals.
Representing clients for more than 31 years, Mr. Johanson first became a law clerk and later an associate attorney for Bowman & London in St. Paul, Minnesota after earning his law degree, and joined Ernst and Whinney (then a big eight accounting firm) in 1986. He has represented clients in business and employment related defense litigation throughout the country in federal courts, before regulatory agencies, in tax controversies, against felony criminal indictments, in various dispute resolutions, and in shareholder and non-competition disputes. Prior to joining his current firm, he was an equity partner and shareholder at Jackson Lewis from 2012 to 2014. A frequent lecturer for the University of Southern California Mediation Clinic, Mr. Johanson has been serving as a temporary judge for the California Superior Court for the past nine years and is currently a panel chair arbitrator for several organizations, including the Beverly Hills Bar Association and the Santa Monica Bar Association. He also does pro bono work for the Eastern District of California.
Mr. Johanson is the author of several publications, which include "ESOPs as a Financing Mechanism," "Description and Purpose of an ESOP," and "The Pros & Cons of Employee Stock Ownership Plans." He is the former editor for The ESOP Association's legal periodical for more than 15 years starting in 1991, served on the board of editors for the Journal of Employee Ownership Law and Finance, and wrote the introduction to the book, "Selling to an ESOP."
Mr. Johanson is affiliated with the Southern California Mediation Association, The ESOP Association, The National Center for Employee Ownership, the Rocky Mountain Employee Ownership Center, the American Bar Association, and the Los Angeles County Bar Association. As an industry leader, he is the former chair of the advisory chairs council of The ESOP Association, and was named 1993 Outstanding Advisory Committee Chair by The ESOP Association. Mr. Johanson is a former member of the board of directors of The ESOP Association and of The National Center for Employee Ownership, as well as former outside general counsel to The National Center for Employee Ownership. He was recently named to Continental Who's Who in 2016 and has been AV Preeminent Peer Review Rated by Martindale-Hubbell for more than two decades.
