Mr. Bergan's professional career has spanned four decades, primarily in senior legal/management positions in the money management industry. Coming out of law school in 1975, he first served as a Staff Attorney at the Washington headquarters of the Securities and Exchange Commission, in the Commission's Division of Market Regulation. In 1977, Mr. Bergan became Vice President and Assistant, later Associate, General Counsel of the Securities Industry Association (SIA), the national trade association of the "sell side" securities industry.
In 1981, Mr. Bergan was recruited to join Alliance Capital Management Corporation, at the time the Nation's largest non-bank institutional money manager, as Vice President and Assistant General Counsel. At Alliance, he enjoyed a distinguished 22-year career. Shortly after he joined Alliance, the firm diversified into the retail mutual fund business, and Mr. Bergan spearheaded this important strategic initiative, spending the final 16 years of his Alliance career as Senior Vice President, General Counsel & Chief Legal Officer of the Alliance Fund Complex, then among the Nation's largest. He developed the legal breakthroughs that facilitated several mutual fund product and pricing innovations.
Mr. Bergan left Alliance in 2003. For the next 12 years, Mr. Bergan's substantial legal and business experience, together with his management and leadership abilities, enabled him to succeed in a series of engagements to lead troubled funds and money managers out of legal and regulatory difficulties. In addition, during 2004-07 he was Senior Regulatory Counsel of Proskauer Rose LLP in New York City, acting as the firm's expert on investment management law and regulation.
Mr. Bergan holds a B.A. in Soviet Studies from The College of the Holy Cross, and a J.D. from Fordham University School of Law, where he was an Editor of the Fordham Law Review. He served a five-year term as Chairman of the Closed-End Funds Committee of the Investment Company Institute, and for many years on other committees of the Institute, the American Bar Association and New York City Bar Association. He has spoken at numerous professional conferences and guest lectured at several law schools. Mr. Bergan concluded his legal career in 2015, and currently acts as an independent consultant. He has in hand his first book, a work of naval history. Mr. Bergan now resides in Davidson, NC, where he is a member of the River Run Country Club. He is the father of two daughters, Annabel (deceased) and Caroline.
