Philip C. Thompson, a native of Short Hills, New Jersey has been in the private practice of law since Autumn 1973. After graduation from Washington & Lee's University Law School in 1971where he served as Note Editor of the Law Review, he served a law clerkship with then Chief Judge Walter E. Hoffman in the Eastern District of Virginia by appointment in the United States Court of Appeals for the Ninth Circuit. After the federal clerkships, he served as a Captain in the United States Army stationed at Fort Knox, Kentucky with the 1st Cavalry - 194th Armored Brigade.
Mr. Thompson began his law career at Hansell Post (Jones Day) in the banking and real estate practice groups and became a partner in January 1979. Subsequently he was recruited as a lateral partner to practice in Banking, Corporate Transactions and International Business Departments, at each of Dow Lohnes and Albertson, LLP, Arnall Golden Gregory, LLP, Duane Morris, LLP and Nelson Mullins, LLP. After retirement from Nelson Mullins, LLP at the end of 2015, he resumed full time practice at Moore Ingram Johnson and Steele, LLP, a 100+ lawyer firm headquartered in Marietta, Georgia, a suburb of Atlanta, where he is a senior partner in that firm's corporate practice group. He specializes in mergers and acquisitions, private equity, corporate reorganization, corporate governance, and tax planning.
Mr. Thompson's career path has been influenced greatly by circumstances arising out of the evolution of Atlanta as the financial and transportation hub of the Southeast United States. He has practiced during five cyclical economic downturns beginning with the debt REIT collapse in the mid-1970s extending through the Great Recession in 2008. Each of these downturns impacted Atlanta significantly due to the predominance of the banking and real estate development industries. Mr. Thompson has represented both regional and national banks in their workouts and restructuring of major multi-faceted development projects, including urban mixed-use projects and recreational/resort projects both regionally in the Southeast and Southwest United States and globally. In 1987 he was selected to act as regional outside counsel to the Resolution Trust Corporation and FSLIC/FDIC in managing the takeover and disposition of thrifts located in the MACO and Southeast Regions. Later he was engaged as regional by several private equity firms who acquired and repositioned more than U.S. 2 Billion in loan portfolios between 2008 and 2015.
Mr. Thompson became exposed early in his career at Jones Day representing foreign businesses and investors who targeted the Southeast United States as a favored situs for business in the United States. From 1980 throughout his tenure with each of the aforementioned AMLAW 100 firms he co-chaired each firm's corporate and international practice groups with responsibility for strategic planning. In 1987 he was featured in an ABA Law Journal article entitled "Raiders of the Lost Ark" which focused on the rapid growth of AMLAW firms in international business law. As a result he has handled personally scores of hundreds of cross-border business transactions ranging from joint ventures and strategic alliances, mergers and acquisitions, project financings, both equity and debt, international transfer of goods and services, as well as international arbitration and tax controversy.
At various junctures Mr. Thompson lived and practiced in London, Munich, Paris and Barcelona representing both U.S. and foreign clients. He cites as an example his representation of FCEP, one of the first publically traded investment REITs headquartered in Paris, which afforded him the opportunity to interface with major European financial institutions, as well as first tier European law firms and private equity firms. During that time period he worked with both Roderick Hills, former Chairman of the SEC under President Ford and Carla Anderson Hills, former U.S. Trade Representative and U.S. Secretary of Housing and Urban Development, who offered Thompson opportunities to expand his practice in international business and trade law liaising with them both at Donovan Leisure (NYC) and Hills and Company International Consultants (DC). To this date Mr. Thompson views the opportunities he has had to participate in cross-border international business ventures and financings as a distinguishing dynamic to his business law background.
Beginning in 1980's Mr. Thompson had the opportunity to act as a quest lecturer and sometimes visiting adjunct professor in several graduate business programs both in the United States and the EU. He has presented dissertations on cross-border investments and international trade regulation at the London College of Business and Regensburg University. Later he has been designated either as a guest lecturer or an adjunct professor at Emory University (Goizueta), Georgia State (Robinson College of Business) and Kennesaw State (Coles College of Business). Commencing in 1996, in furtherance of his academic pursuits Mr. Thompson became a frequent Op-Ed contributor to such professional journals and publications as the ABA Law Journal, Bloomberg Law Journal, Financial Times, Law360, and Atlanta Business Journal focusing on financial institutions and trade regulatory regimes.
Since 2010 Mr. Thompson has devoted time to the organization and governance of several nationally recognized non-profit organizations to include Global Soap and Lift up America. He also has volunteered and organized for both prison reform and youth outreach programs.
Mr. Thompson has been recognized for more than twenty-five years as a preeminent (AV) lawyer in numerous periodicals to include Martindale Hubble, Atlanta Magazine and Chambers USA. In 2015-2016 he was named as a "most recognized cross-border business advisor" in the Southeast by Chambers' Affiliate, Who's Who of International Business Advisers.
