Mr. Hart served the Alleghany Corporation, a New York based diversified international holding company, from 1994 to 2011, holding the positions of senior vice president, general counsel and secretary. During this time, he also served the Chicago Title as director from 1988 to 2000. He began his career as an associate at Donovan Leisure Newton & Irvine in New York City in 1969, transitioning to the London, England office in 1972-73. He was promoted to partner in 1977. From 1984 to 1988, he served as a partner with Dorsey and Whitney LLP. He returned to Donovan Leisure Newton & Irvine in 1988. He acted as the co-chairman of the corporate department, and his practice involved the representation of public companies and financial institutions in mergers and acquisitions, joint ventures, public offerings, private financings, and in the development of new financial products and other capital market related matters. Mr. Hart also serves in academia and has acted as a senior lecturer in law at Duke University since 1986. Over this period, he has taught seminars on securities regulation, mergers and acquisitions, and strategies in business transactions. He has also been honored as a senior fellow at Duke University since 1983.
Mr. Hart graduated with a Juris Doctor from Duke University in 1969, where he served on the Duke Law Journal and was selected into The Order of the Coif. After his first year in law school, he was determined to pursue a career in corporate law. He was admitted to practice in the state of New York in 1969, the Southern District of the United States District Court of New York in 1979, and the United States Court of Appeals for the Second Circuit in 1970. Mr. Hart attributes his success to his many mentors. The partners he served under as a young lawyer offered him a variety of experiences through their varying professional backgrounds and concentrations in law. Since the firm he worked for represented a multitude of companies and people, he was given the opportunity to experience and familiarize himself with a broad range of legal cases. This helped him focus on the steps necessary to achieving his career goals. Mr. Hart is now renowned for his contributions in the legal industry. He has authored numerous articles published in professional journals and is a member of the Federal Securities Regulation Committee of the American Bar Association, and the American Law Institute.
A highlight of Mr. Hart's career involved his work with the company, LOR (Leland O'Brien and Rubinstein). The company developed a product called Portfolio Insurance, which was meant to protect big investors if the market crashed. In 1987, the market dropped over 500 points, a drop of over 22 percent in the Dow, and Portfolio Insurance failed because the product involved "dynamic hedging," i.e., where investors concurrently sell futures to offset the losses their portfolio may experience but there were no futures buyers. LOR faced a lot of criticism from investors. The company then decided to develop what would be called the "Super Trust." However, its development required exemptions from the Investment Company Act, which, until then, had never been granted. After two years, the company successfully received the exemption, and they established the Super Trust, the biggest Initial Public Offering at the time. However, the Super Trust's popularity remained low, but the exemption is now public property, and it paved the way for exchange traded funds to be approved by the SEC. Mr. Hart found the whole experience to be educating, and he still reflects on the experience to this day.
