A former chief justice of the Supreme Court of Delaware for a decade beginning in 2004, Mr. Steele also served as a judge of the Superior Court and as vice chancellor of the Delaware Court of Chancery after 18 years in a private litigation practice. Mr. Steele has presided over major corporate litigation and limited partner governance disputes and has been in practice since 1970 when he first joined Prickett, Ward, Burt & Sanders in Dover, DE.
Mr. Steele taught as an adjunct professor of law at the University of Pennsylvania Law School from 2009 to 2013, Pepperdine University School of Law from 2010 to 2014, and the University of Virginia Law School from 2010 to 2017. He also served as chairman of the Central Delaware Care Corporation for five years in the 1990s, served on the Consumer Affairs Board for nearly 15 years, and was on the board of directors for the Delaware News Council, among other roles.
For over a decade, Mr. Steele has served as judicial advisor to the mergers and acquisitions committee of the American Bar Association's business law section. He is a former president of the Kent County Bar Association and vice president of the Delaware Bar Association, as well as a longstanding member of the Virginia State Bar. Furthermore, Mr. Steele remains active with the Wilmington Club, the California Club, the Army Navy Club, The Society of Colonial Wars, Delaware Inns of Court and Union Lodge #7 AF & AM. Mr. Steele is also Vice-President and Treasurer of the American College of Governance Counsel and Chair of the Advisory Board of the Weinberg Center for Corporate Governance at the University of Delaware. Continuing to write on issues of corporate document interpretation and corporate governance, Mr. Steele is the co-author of the article "Freedom of Contract and Default Contractual Duties in Delaware Limited Partnerships and Limited Liability Companies" in the American Business Law Journal in 2009, as well as the essay "The Moral Underpinning of Delaware's Modern Corporate Fiduciary Duties" in the Notre Dame J.L. Ethics and Public Policy in 2012. He has been recognized for publishing more than 300 opinions resolving disputes among members of limited liability companies and limited partnerships, and between shareholders and management of both publicly traded and close corporations.
Earning his Bachelor of Arts and Doctor of Jurisprudence at the University of Virginia in 1967 and 1970, respectively, and LLM from the University of Virginia in 2005, Mr. Steele served in the U.S. Army, exiting the military as a first lieutenant in 1970. He is also a retired colonel of the Delaware National Guard who served between 1974 and 1997. He has been admitted to the Delaware and Virginia Bars, as well as the U.S. District Court of Delaware, the Third Circuit of the U.S. Court of Appeals and the U.S. Supreme Court.
Married to Beverly June Heaps for more than 50 years with two children and two grandchildren, Mr. Steele has been featured in dozens of editions of Who's Who, including Who's Who in America, Who's Who in American Law and Who's Who in American Politics. He has been the recipient of a Judicial Leadership Achievement Award by the U.S. Chamber Institute for Legal Reform in 2012, received an Honorary Doctor of Laws from the University of Delaware in 2014, was named to the Director 100 Hall of Fame for lifetime achievement in corporate governance in 2014, and was elected to the Citadel Business School Board's Business Leaders Hall of Fame in 2015.
