Mr. Dye boasts extensive experience regarding SEC disclosures, board and committee structure and composition, executive compensation, and compliance policies. An expert on stock trading issues, he works closely with public companies and stock traders, as well as investment funds, to avoid Section 16 liability traps and defend their transactions. In fact, Mr. Dye is probably best known for his contributions to the leading treatise on Section 16 of the Securities Exchange Act, for which he co-authored the fifth edition with Peter Romeo in 2019. An alumnus of Emory University in Atlanta, Mr. Dye first received a Bachelor of Arts, with high honors, in 1975. He soon after entered the University of Georgia in Athens, where he completed a Doctor of Jurisprudence in 1978. While pursuing his juris doctorate, he served as the editor-in-chief of the Georgia Law Review. Mr. Dye has been licensed to practice law by the State Bar of Georgia, the New York State Bar and the District of Columbia Bar.
Mr. Dye served as the chair of the securities, commodities and exchange committee of the American Bar Association's Administrative Law Section between 1990 and 1994 and has been active with the association's Business Law Section as well. He has been an advisory board member for the National Association of Stock Plan Professionals since 1992. In order to keep abreast of developments in his field, Mr. Dye maintains professional affiliation with the Georgia Bar Association, the New York State Bar Association and Omicron Delta Kappa.
