With more than 30 years of legal experience, Mr. Cohen is recognized for his expertise in corporate finance, particularly debt financings and restructurings, mergers and acquisitions and general corporate law. Throughout his career, he has been known as a professional problem-solver skilled in multiple areas of business and corporate law. He has built a reputation for success in closing deals. Before joining his current law firm, Raines Feldman LLP, in 2021, Mr. Cohen was a partner at Reed Smith LLP from 2020 to 2021, Irell & Manella LLP from 2000 to 2020, and Riordan & McKenzie from 1998 to 2000.
Mr. Cohen was born in Springfield, Massachusetts, and raised in Longmeadow, a Springfield suburb. Growing up, Mr. Cohen regularly worked in his father's wholesale fruit and produce business, I. Cohen & Son, which his grandfather and father founded and operated in Western Massachusetts and Northern Connecticut. Mr. Cohen was exposed early on to the world of entrepreneurial business and learned to manage and operate the family business.
Initially, Mr. Cohen did not intend to become an attorney. After earning a Bachelor of Arts (A.B.) in Diplomacy and World Affairs, with an emphasis in Economics, from Occidental College in 1980, he attended The Fletcher School of Law and Diplomacy at Tufts University, earning a Master of Arts in Law and Diplomacy (M.A.L.D.) in 1983 in the fields of International Business, International Finance and European Diplomatic History and Foreign Policies. He then went to work as a tax consultant in the international tax group of Touche Ross & Co. in New York, where he was the only non-lawyer hired in his incoming class of tax consultants. This experience exposed him for the first time to corporate law and, in his late 20s, he decided to pursue a law degree with the goal of becoming a corporate lawyer. In 1988, he earned a Juris Doctor (J.D.) from Columbia University School of Law, where he was a Harlan Fiske Stone Scholar, and joined Gibson, Dunn & Crutcher LLP as an associate.
During Mr. Cohen's legal career, he has served as outside general corporate counsel to several U.S. subsidiaries of foreign corporate groups. In addition, he practiced in Tokyo, Japan, primarily advising Japanese clients regarding their investments and transacting business in the United States, and in London, England, where he worked on cross-border transactions in Europe.
Mr. Cohen is a member of the State Bar of California, the American Bar Association, and the Los Angeles County Bar Association, including, in each case, their Business Law Sections. He was named a Visionary in Los Angeles County's March 2022 Banking and Finance: Trends, Updates and Visionaries and has been selected as a 2023 Southern California Super Lawyer. He has also been highlighted as a top lawyer in The Legal 500 in mergers and acquisitions and recognized as a leading corporate/mergers & acquisitions lawyer by Chambers & Partners in its Chambers USA Leading Lawyers for Business Guide.
Outside work, Mr. Cohen enjoys spending time with his family, following politics, and playing competitive basketball. His wife, Judy, is a member of the Board of Directors of Holocaust Museum L.A. and a former pediatric speech-language pathologist and audiologist. Their son, Daniel, received his undergraduate business degree from The McDonough School of Business at Georgetown University and is a Senior Associate in the U.S. Direct Lending Group of Ares Management Corporation. Their daughter, Caitlin, recently graduated from the University of Michigan with a degree in communications and media and a minor in Spanish. Looking toward the future, Mr. Cohen hopes to continue to excel as a corporate attorney, play more competitive basketball, travel, possibly obtain a private pilot's license, and spend more time with his wife and children.
