In an effort to expand its business footprint and to improve its delivery of service, the Company has retained Michael Fralin's firm as its general counsel. Michael has over 13 years of real estate transaction and corporate law experience. Prior to starting his current firm, Mr. Fralin practiced law at several leading international law firms, as well as in-house for a number of large financial institutions, where he established himself as a consummate business lawyer. Mr. Fralin's firm will act as outside general counsel to Somera and its affiliated companies. For Somera, Michael Fralin will focus on advising the company on legal matters, including deal structure, transaction execution and litigation. Mr. Fralin's firm will also support the Company's growing asset management business. Given Mr. Fralin's vast experience in real estate and structured finance, Somera will rely heavily on his expertise to make educated investment and legal decisions that meet Somera's objectives while satisfying all applicable requirements.
On behalf of Somera, Michael Fralin will play a substantial role in the structure and execution of transactions. Moreover, due to the often distressed nature of Somera's core transactions, Somera is frequently involved in dispute resolutions, including foreclosure litigations. In such cases, Mr. Fralin shall advise Somera with respect to strategies, analysis and settlements.
Michael formerly practiced law with the international law firm of Paul Hastings LLP, where he played a vital role in the law firm's real estate structured finance group. At Paul Hastings, Michael Fralin handled all asset classes, including multifamily, office, hospitality, retail, and industrial. These transactions were comprised of the origination of mortgage loans, mezzanine loans, credit facilities and bridge loans. Mr. Fralin also has a deep understanding of secondary market transactions and securitizations, including CMBS, CLO and CDO facilities.
Prior to Paul Hastings, Michael Fralin practiced law at other leading law firms including Sidley Austin LLP and Cadwalader, Wickersham & Taft LLP. In addition, Michael Fralin has substantial in-house experience garnered from serving as a business lawyer at a publicly traded investment bank, a real estate investment trust and a franchise. Somera Road Inc. will incur substantial benefits from Mr. Fralin and his firm's advice and counsel. Michael Fralin received his Juris Doctorate from Boston College Law School, and his B.A. from the University of Michigan, where he graduated from Michigan's LSA Honor's Program.
